1. Acceptance of Terms

The RND Group (“we”, “us”, or “our”) provides access to websites, applications, data, tools, and services (collectively, the “Services”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. If you do not agree with these Terms, you may not access or use the Services.

Except as expressly provided in these Terms, nothing in the Services grants you any license or right to use any intellectual property without prior written permission.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE RND GROUP EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RND GROUP, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of or relating to the Services is limited to the amount paid, if any, by you to The RND Group in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless The RND Group and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party right.

10. Termination

The RND Group may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, the rights and licenses granted to you herein will cease immediately, and you must stop using the Services.

11. Governing Law and Venue

These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, for the resolution of any legal matter arising from these Terms.
